PHM Group Holding Oyj contemplates issuance of a new bond

PHM Group Holding Oyj (“PHM” or the “Company”) is contemplating the issuance of new euro-denominated senior secured floating rate notes in a nominal amount of EUR 60 million under a framework of EUR 200 million (the “New Notes”).
The proceeds from the New Notes issue would be applied towards (i) the refinancing of drawings under the Company’s Super Senior RCF, (ii) general corporate purposes including M&A, and (iii) finance transaction-related costs.
PHM has engaged Nordea Bank Abp and Pareto Securities AS as Joint Bookrunners for the contemplated issue of the New Notes and PHM has mandated the Joint Bookrunners to hold meetings with investors, commencing on 1 December 2022. Subject to prevailing market conditions and final decision by the Company, an issuance of New Notes may follow.

For the purposes of this provision, the expression an “offer to the public” in relation to any of the New Notes in any relevant state means the communication in any form and by any means of sufficient information on the terms of the offer and any New Notes to be offered so as to enable an investor to decide to purchase any New Notes.
